Terms of Service

1. Acceptance of Terms

By using SimpleStudio (“Service”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Free Trial

During the free trial, some features may be limited. Sales CRM features such as automations/workflows setup, building sales pipelines, and customer conversations may be available. However, excessive usage may incur fees. Usage is measured in credits distributed monthly. Exceeding your credits for premium actions, including sending outbound emails, calling, and using premium workflow triggers, will result in incremental fees as outlined in our fee schedule (simplesales.io/fee-schedule). At the end of the trial period, you will be automatically billed in accordance with the offer you accepted, plus applicable sales tax. You can cancel anytime before then to avoid being charged, except for overage fees based on usage of premium features such as outbound calling and signing up for a business phone number.

3. Paid Version and Pricing

Pricing tiers vary based on current promotions and features offered. Annual plans may include discounts. Additional setup and onboarding help are available for an additional fee of $99 per hour. Usage is measured in credits distributed monthly. Exceeding your credits for premium actions, including sending outbound emails, calling, and using premium workflow triggers, will result in incremental fees as outlined in our fee schedule (simplesales.io/fee-schedule).

4. User Responsibilities

Users must:

  • Provide accurate and complete information during registration and maintain the accuracy of such information.

  • Use the Service in compliance with all applicable laws and regulations, including those related to email, SMS, and calling communications.

  • Maintain the security and confidentiality of their account login credentials.

  • Not use the Service for any illegal or unauthorized

    purpose.

  • Be responsible for all activity that occurs under their account.

  • Promptly notify [email protected] of any unauthorized use of their account or any other security breach.

Non-compliance can result in revoked privileges without warning. Misuse of marketing communications, monitored by third-party providers, may lead to temporary account suspension for investigation. Users must keep their contact information up to date.

5. Billing and Payment

Users are billed according to their selected plan, either monthly or annually. Accepted payment methods include credit cards and other methods as specified on our website. Users may also be billed for specific services such as onboarding, marketing, and other services provided. Such additional services are offered and charged separately from the SimpleSales.io CRM monthly or annual charges. Users will be asked beforehand whether they would like to take advantage of these services and of the estimated costs. Refunds are subject to our refund policy - We offer refunds if the services provided do not meet the expectations set at the time of purchase so long as the refund is requested within 7 days of that purchase. If you believe this applies to you, please contact our support team to discuss your situation.

6. Service Availability

Scheduled maintenance and unforeseen issues may cause downtime. We aim for but cannot guarantee 99.5% uptime. We provide customer support during designated hours and a 24/7 knowledge base. Future implementation of 24/7 support is planned but not guaranteed at this time.

7. Data and Privacy

User data is handled in accordance with our privacy policy. Standard data retention policies apply. Users have rights regarding their data as outlined in the privacy policy.

8. Modifications to Terms

We reserve the right to modify these Terms. Users will be notified of changes via the contact information provided. It is the user's responsibility to keep their contact information current.

9. Termination

Accounts may be deactivated for non-compliance with these Terms. Immediate termination may occur for significant breaches of law or marketing compliance.

10. Liability and Disclaimers

We do not guarantee results from using the Service. The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. Our liability is limited to the maximum extent permitted by law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which SimpleSales.io operates. Disputes will be resolved through arbitration or as specified by applicable law.

12. Indemnification

You agree to indemnify and hold harmless SimpleSales.io, its affiliates, officers, agents, and employees from any claim, demand, or damage, including reasonable attorneys’ fees, arising out of or related to your use of the Service or your violation of these Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and SimpleSales.io LLC regarding the use of the Service and supersede any prior agreements between you and SimpleSales.io LLC.
